LEGAL SUPPORT SERVICES
1. Initial registration of a legal entity.
2. Assistance to foreign companies in market entry (start-up projects). Assistance to start-up projects includes:
- advising on best alternative for a legal structure to be established in Armenia
- preparing drafts of corporate instruments underlying the establishment of a company in the territory of Armenia
- assistance with registration formalities
- obtaining required permits and authorisations
- assistance with legal and tax issues associated with establishing business in Armenia
3. Legal support. Claim- and contract-related services include:
- working out (reviewing) civil contracts to identify and mitigate potential legal and tax risks, to protect the client’s interests as part of business dispute resolution or issues raised by controlling authorities
- corporate secretary outsourcing, including preparing corporate by-laws and conducting corporate procedures (documenting management decisions)
- drafting and legal review of the contracts, legal due diligence of other business and regulatory documentation
- performing legal and related functions entrusted by a trustee. A list of functions is stipulated in a Power of Attorney or other instrument approved by the parties. A list of functions may include negotiations, reconciliation of terms and conditions of transactions, meetings with partners and other issues
